If you are under 18, depending on where you live, you may need to have your parent or guardian’s consent to this Agreement, and they may need to enter into this Agreement on your behalf.

Account Security: You are responsible for safeguarding your Accounts and ensuring others don't have access to your Accounts or passwords and other authentication credentials. You're solely responsible for any activity on your Accounts and for maintaining the confidentiality and security of your passwords.

Prohibited Activities: You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services, use of the Services, or access to the Services without the express written permission of E2C. You agree not to work around, bypass, or circumvent any of the technical limitations of the Services. You are prohibited from:

  • Republishing, selling, sublicensing, or otherwise commercializing website materials;
  • Publicly displaying or performing website materials;
  • Using this website in a way that damages or disrupts its functionality;
  • Engaging in data mining, harvesting, or extraction activities;
  • Using this website for unlawful advertising or marketing;

E2C Store reserves the right to restrict access to certain sections of the website at its sole discretion. Users must maintain the confidentiality of any login credentials.

3. E2C Store Services

Description: E2C is a platform designed to enable individuals and businesses to create and manage online e-commerce stores. E2C provides a user-friendly interface and tools to customize your online store, add products, and process orders.

Free E-commerce Platform: E2C is committed to providing a free platform for building and hosting your online store. This includes:

  • Store Customizability: Personalize your store with changes to colors, text, and content.
  • Unlimited Product Listings: Add as many products as you need without restrictions.
  • Personal Contact Form: Enable customers to contact you directly through your store.
  • Detailed Analytics: Access data to monitor your store's performance.
  • Basic SEO Tools: Access features to help optimize your store for search engines.

Limitations: While E2C strives to offer a reliable service, we do not guarantee uninterrupted access or perfect uptime. We reserve the right to modify or discontinue any aspect of the Services at any time. We may release products and features that we’re still testing and evaluating. Those Services will be marked as beta, preview or early access (or a similar phrasing), and may not be as reliable as our other Services.

Migration Assistance: E2C may offer resources or support to assist with migrating existing online stores to the E2C platform. The scope and terms of this assistance will be determined by E2C and communicated to you separately.

4. User Responsibilities

Store Content: You are solely responsible for all content displayed on your E2C store, including product descriptions, images, and other materials. You represent and warrant that you own all rights to your User Content or otherwise have (and will continue to have) all rights and permissions necessary to use, share, display, transfer and license your User Content via the Services.

Customer Interactions: You are responsible for all transactions and interactions with your customers, including order fulfillment, customer service, and dispute resolution. E2C is not a party to any transactions between you and your customers.

Compliance with Laws: You agree to comply with all applicable laws, rules, and regulations in your use of the Services and in your operation of your online store. This includes consumer protection laws, data privacy laws, tax laws, and any Industry-Specific Regulations.

Prohibited Products/Services: You may not use E2C to sell or promote illegal, harmful, or offensive products or services. E2C reserves the right to remove any content that violates this policy. Prohibited items include, but are not limited to:

  • Counterfeit or pirated items
  • Content promoting hate speech or violence
  • Illegal drugs or substances
  • Adult content
  • Stolen goods
  • Unauthorized software or digital products
  • Any activities violating local laws and regulations

Contact Information: You agree to provide clear and accurate contact information on your E2C store, including a valid email address and physical address.

Refund and Shipping Policies: You are responsible for clearly posting your refund and shipping policies on your E2C store.

5. E-commerce Platform Specifics

Payment Processing:

  • E2C integrates with third-party payment processors such as PayPal and Stripe. You are responsible for complying with the terms and conditions of these payment processors.
  • E2C is not responsible for any errors or issues arising from the use of third-party payment processors.
  • You are responsible for setting up and maintaining your accounts with these payment processors.

Order Management:

  • E2C provides tools for managing orders and adding tracking information.
  • You are responsible for accurately fulfilling orders and providing customers with tracking information.
  • E2C is not liable for any errors in order fulfillment or shipping.

Product Listings:

  • You are responsible for creating accurate and descriptive product listings.
  • You may not list products that infringe on the intellectual property rights of others.
  • E2C reserves the right to remove any product listings that violate these terms.

Taxes: You are responsible for collecting and remitting all applicable taxes on sales made through your E2C store. E2C does not provide tax advice and is not responsible for any tax liabilities.

Inventory Management: While E2C may provide basic inventory management tools, you are ultimately responsible for tracking and managing your inventory.

Customer Service: You are responsible for providing customer service to your customers, including responding to inquiries, resolving complaints, and processing returns.

6. Fees and Payments

Free Platform: E2C itself is offered to you free of charge.

Transaction Fees: E2C charges a 1% service fee on each transaction processed through your store. This fee is in addition to the payment provider processing fee. The payment provider processing fee varies based on the payment processor used and your country. Refer to pricing here.

Payment Processing: E2C integrates with third-party payment processors such as PayPal and Stripe. You are responsible for complying with the terms and conditions of these payment processors.

Fee Changes: E2C reserves the right to modify the transaction fees at any time. We will provide you with reasonable notice of any fee changes.

7. Intellectual Property

Your Content: You retain ownership of the content you upload to your E2C store. By using E2C, you grant E2C a non-exclusive, worldwide license to use your content to operate and promote the Services.

E2C Intellectual Property: E2C owns all intellectual property rights in the Services, including the E2C platform, website, and logo. You may not use E2C's intellectual property without our express written permission.

Templates: The Services include social, website or other templates (collectively, “Templates”). The Templates include without limitation Demo Content, designs, layouts, stickers, stamps, overlays, elements and other materials. Squarespace owns the Templates. You may not use any Template in any way, intentional or otherwise, that competes, as determined by us in our sole discretion, with the Services.

8. Confidentiality

You agree to protect E2C's confidential information, including technical information, business plans, and customer data.

9. Limitation of liability

To the maximum extent permitted by law, E2C shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services.

E2C is not responsible for any loss of profits, revenue, data, or goodwill.

E2C's total liability to you for any claim arising out of or related to these Terms or the Services shall not exceed the amount of fees you have paid to E2C in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless E2C and its affiliates, officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another.

11. Third-Party Services

E2C integrates with third-party services such as payment processors. Your use of these services is subject to their terms and conditions. E2C is not responsible for the performance or reliability of these third-party services.

The Services may contain links to third party sites. When you access third party sites, you do so at your own risk. We don’t control and aren’t liable for those sites and what those third parties do.

12. Termination

Your Right to Terminate: You may terminate your Account at any time by contacting E2C support.

E2C's Right to Terminate: E2C may suspend or terminate your Account for any reason, including violation of these Terms.

Effect of Termination: Upon termination of your Account, you will no longer have access to the Services. E2C may delete your store content and data.

13. Modifications to the Terms of Service

E2C reserves the right to modify these Terms at any time. We will provide you with reasonable notice of any material changes. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the new Terms.

14. General Conditions

Entire Agreement: These Terms constitute the entire agreement between you and E2C Store concerning your use of this website and superseded all prior agreements.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which E2C is based, without regard to its conflict of law principles.

Events Beyond Our Control: We are not in breach of this Agreement or liable to you if there is any total or partial failure of performance of the Services resulting from any act, circumstance, event or matter beyond our reasonable control.

15. Service Time and Support

Uptime Disclaimer: E2C strives to maintain a high level of service availability. However, E2C does not guarantee uninterrupted access to the platform. Service interruptions may occur due to maintenance, updates, or unforeseen technical issues. E2C is not liable for any losses or damages resulting from service interruptions.

Support Availability: E2C will provide reasonable technical support to users of the platform. Support may be provided through email, online documentation, or other channels. E2C does not guarantee immediate or comprehensive support.

16. Governing Law & Jurisdiction

These Terms will be governed by and interpreted in accordance with the laws of the Province of Ontario, and you submit to the non-exclusive jurisdiction of the state and federal courts located in Canada for the resolution of any disputes.
